Confidentiality Agreement (Buyer NDA)

Before a buyer sees confidential information about a specific business, they sign this agreement electronically. It applies to that opportunity.

In short

  • Signed per opportunity, not once for everything.
  • Information may be used only to evaluate that opportunity.
  • No contact with the owner, employees, landlord, suppliers or customers without us.
  • Information must be returned or destroyed on request.
  • Signing does not entitle you to buy, and does not oblige the owner to sell.

What the agreement covers

All non-public information disclosed to you about the opportunity, in any form:

  • The identity and location of the business
  • Financial statements, tax returns and sales information
  • Licences, leases and contracts
  • Property, equipment and environmental information
  • Employee information
  • Data room materials and anything derived from them

It does not cover information that is already public, that you already lawfully held, or that you develop independently without using the disclosed information.

Permitted use

You may use the information only to evaluate a possible acquisition of that business, and may share it only with your own advisers and team members who need it and who are bound to the same obligations. You remain responsible for them.

No direct contact

You must not contact the owner, employees, landlord, suppliers, customers, licensing authorities or lenders about the business without our prior involvement.

Return or destruction

On request, or if discussions end, you must stop using the information and return or destroy it, other than copies your own record-keeping or legal obligations require you to retain.

No obligation created

Signing gives you access to information. It does not create an obligation for the owner to sell, for us to proceed, or for anyone to accept an offer.

Duration and remedies

The obligations continue after discussions end.
